WRBA Board meeting

Mika Jarmusz, Judy Olson, Susan Goodwin and Alice Ebi in attendance
It was agreed to set aside the stated agenda and focus on whether WRBA should be dissolved.

How do you feel about dissolution?
What about resignations?
Mika: If Alice and Susan are both firm on wanting to resign the end of September I don’t think I will be gaining more board members. Because of the history of WRBA we won’t be getting new board members.
Susan: I am committed to resigning the end of September. In light of what Mika just said we are heading toward dissolution. I think it is a wise way to go.
Mika: I’m still going to the Idaho show and want to talk to people. I am so sorry to see Susan go because Susan has been such a steadfast supporter.
Susan: Should we be waiting for after this meeting when you go to Idaho?
Alice: I need to resign at the end of this meeting.
Judy: I’m also resigning and am in favor of dissolution. Finding new board members is hard and what Mika said about the WRBA reputation is true. I have lost confidence in the institution to continue. In terms of when I resign we can decide that. That’s where I stand.
I’m a little confused to what you said Mika about talking up WRBA in Idaho? Are you trying to constitute a new board?
Mika: If three of you are resigning I think I lost my option to look for new board members. I am not going to recruit there.
Susan: So are we all agreed to dissolve? Do we have to have a membership meeting to dissolve?
Judy: I disagree on what Alice has found. Why don’t we take some of our money and hire an attorney to walk us through the process of dissolution. I have about 4 cousins who live in California and they might be able to refer a nonprofit attorney.
Alice and Susan: agree to get an attorney

Judy moved that we dissolve the WRBA organization in a timely matter.
Susan seconded the motion
Mika: any discussion? None

MOTION:
Susan moved that we authorize Judy to reach out and find a nonprofit attorney to help guide us through the dissolution process.

Judy: any bills that are outstanding?
Susan: not that I am aware of.
Mika: No website bills at this time. Shouldn’t be any more.
Susan: We signed off on website.
Judy: Wait to accept check for new membership that came in recently.
Mika: I do have a question. What do we do with the website?
Susan: last time WRBA almost disbanded didn’t WRBA suggest the website be given to Mika.
Judy: I suggest we table discussion on website until we talk to attorney. What are implications of giving content of website to individual? Need more information. Mika needs to think about it too. What does it mean to have a privately funded website? Need attorney opinion about severing the two entities. Both Susan and I want to see the website continue in some form.
Mika: Do we want to table this discussion.
Alice called for the question and it was unanimously agreed to table discussion about the website until after hearing from an attorney.
Susan: Andy and I are doing a cruise to Alaska June 10-21.
Judy: Mika don’t do any more posting.
Mika: until we know for sure that membership vote is not necessary I think we should go on with the aerogramme.
Alice: I think the June aerogramme should go out.
Susan and Judy said yes, send out June aerogramme
Mika: there are two more. Both involve another author. Other things in the works. In the interest of not short-changing members who paid for full year it is my intent to continue with aerogramme.
Judy: We’ll talk about it again at our next meeting.
Mika: I want to thank you for all your effort to make WRBA work.
