WRBA Board Meeting Minutes

WRBA Board members Present: President: Mika Jarmusz, Secretary: Joan Andersen-Wells, Member-At-Large: Judy Olson
Not Present: Treasurer: Eileen Burke-Trent
Minutes approved as written for 5/24/2024. Minutes for 7/17/2024 will need to be approved by email, as they were not available.
Reports and Correspondences
· January 2024 Button Loupe: Guided Tour of WRBA website
Old/New Business:
· Bylaws amendment (on hold until committee is formed).
· Exit Plan Possible Steps/Goals:
o A discussion was held as to whether to dissolve WRBA, and what to do with our assets.
o It was agreed by consensus of the three Board members present to move towards dissolving WRBA.
o Announce to members.
o Preserve our website information.
o Determine, the best organization to grant our digital assets to.
o Rediscover WRBA’s digital assets: strength and gain recognition
· Create a summary of the assets to include:
· Website
o Static data (past articles) easy to copy and move.
o Dynamic content (inter linked)
o Sooner the better to fix the website
o Website yearly fee, $600.00, to MISSION LAB
· Racks (Where Located)
· Projector (Where Located)
· Memory String album (Where Located)
· Money as of February 19, 2024 WRBA had a balance of $17,191.46 in the bank.
§ Offer free access to all members. We will not take membership dues. We were receiving approximately $2000.00 per year in annual dues.
· Gauge interest for our assets.
§ Membership drive at this time will no longer be needed, as the Board made the decision to dissolve WRBA.
Create a narrative, Mika will draft, for board’s approval.
Next meeting will determine the exact steps we need to do in order to move forward with dissolving WRBA. We need to explore any legal obligations to consider, and what that might be?
Next Steps Todo:
· Website repair.
· Announcement draft (letter to the members)
· Create a list of people/organizations to reach out to.
· Website stats
